EVENTCATALOG LTD ("EVENTCATALOG") OWNS AND OPERATES THE SOFTWARE AND SERVICES DESCRIBED AT WWW.EVENTCATALOG.DEV (THE "WEBSITE") AND MADE AVAILABLE THROUGH OUR SELF-HOSTED SOFTWARE PLATFORM (COLLECTIVELY WITH THE WEBSITE, THE "SERVICES"). THESE TERMS OF SERVICE APPLY TO ALL USERS WHO PURCHASE, SUBSCRIBE TO, OR OTHERWISE USE THE SERVICES (COLLECTIVELY, "YOU", "YOUR" AND SIMILAR).
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY PURCHASING A SUBSCRIPTION, STARTING A FREE TRIAL, CONTINUING TO PAY SUBSCRIPTION FEES, OR CONTINUING TO USE THE SOFTWARE AFTER ANY UPDATE TO THESE TERMS, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS OF SERVICE. IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE, THEN DO NOT PURCHASE OR USE THE SOFTWARE OR ACCESS ANY OF THE CONTENT MADE AVAILABLE THROUGH THE SERVICES. THESE TERMS OF SERVICE MAY BE AMENDED OR UPDATED BY EVENTCATALOG FROM TIME TO TIME. YOUR USE OF THE SOFTWARE OR CONTINUED PAYMENT OF SUBSCRIPTION FEES AFTER ANY AMENDMENTS SHALL SIGNIFY YOUR ACCEPTANCE OF SUCH REVISED TERMS.
Business Use Only. The Software is intended solely for commercial, business, and professional use. By agreeing to these Terms, you confirm you are purchasing in a business capacity, not as a consumer. Consumer protection laws do not apply to this agreement.
Custom Terms. These Terms apply to all self-service plans (Starter and Scale). If you require custom contracts, redlines, vendor registration, or specific procurement requirements, contact sales@eventcatalog.dev about our Enterprise plans. Custom legal agreements are not available on standard tiers.
1. Definitions.​
a. "Software" means the EventCatalog software licensed under your Plan, including any updates provided by EventCatalog.
b. "Plan" means the specific license tier you have purchased (e.g. Starter, Scale), as described on the Website at the time of purchase.
c. "Authorized Users" means your employees, contractors, and those of your affiliates (entities you control, that control you, or under common control with you) who you authorize to use the Software.
d. "Integration License" means a separately purchased license to use a specific EventCatalog integration, as listed on the Website. Integration Licenses are activated via the same license key mechanism as the core Software.
e. "Instance" means each separately deployed environment of the Software. For example, production, staging, and development deployments each constitute a separate Instance. Each Instance requires its own license under a separate Plan.
f. "Order" means your online subscription through the Website, an order form, or similar purchasing mechanism, which together with these Terms forms the agreement between you and EventCatalog.
g. "Community Edition" means the open-source version of EventCatalog, licensed separately under the MIT License.
2. Provision and Use of the Software.​
a. License Grant. Where you subscribe for the Software, whether through an online subscription through the Website, an order form, or similar (together, an "Order"), EventCatalog will make the Software available to you on the terms of the Order and these Terms of Service. EventCatalog grants you a non-exclusive, non-transferable, worldwide license to self-host and use the Software for your team's internal business purposes, for as long as your subscription is active. The license is granted per Instance. "Internal business purposes" means use by your Authorized Users for your own work — not to provide the Software as a service to third parties (no service bureau, time-sharing, or reselling).
b. Features and User Limits. Your Plan determines what features you get and the intended team size for that Plan. These details are published on the Website and form part of these Terms. If you have purchased Integration Licenses, they entitle you to use the specific integrations listed, subject to the same terms as the core Software.
c. Fair Use. Each Plan is designed for a typical team size (e.g. up to 20 users for Starter, up to 50 users for Scale). EventCatalog operates on a trust-based model. If your usage consistently exceeds your Plan's intended team size, we will reach out to discuss upgrading to a Plan that better fits your needs. You shall not give access to people outside your organization without our written consent.
d. Use Guidelines. You shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make the Software available to any third party, other than to your Authorized Users as contemplated by these Terms; (ii) reverse engineer, decompile, disassemble, or create derivative works based on the Software; (iii) circumvent any user limits, license validation, or other restrictions built into the Software; (iv) remove or alter any proprietary notices, labels, or marks from the Software; (v) access the Software in order to build a competitive product or service, or copy any ideas, features, functions, or graphics of the Software; (vi) interfere with or disrupt the integrity or performance of the Software or its license validation systems; or (vii) use the Software in violation of any applicable laws.
e. Free Trials. If you register for a free trial, EventCatalog will make the Software available to you on a trial basis until the earlier of: (a) the end of the trial period, or (b) the start date of a paid subscription. These Terms apply during the trial period except for the payment sections. We may limit features during the trial. EventCatalog may terminate any free trial at any time in its sole discretion.
f. Subscriber Responsibilities. You are responsible for all activities that occur under your account and for your Authorized Users' compliance with these Terms. You shall: (i) have sole responsibility for the accuracy, quality, integrity, legality, and appropriateness of all data you process through the Software; (ii) use commercially reasonable efforts to prevent unauthorized access to the Software and notify EventCatalog promptly of any such unauthorized access; and (iii) comply with all applicable laws in using the Software.
g. Purchases Through Resellers. If you purchase a subscription through an authorised reseller or partner, these Terms still apply in full. No reseller or partner has authority to modify these Terms, make representations, or grant rights on behalf of EventCatalog beyond what is stated herein. Any additional terms between you and a reseller are solely between you and that reseller.
3. Self-Hosted Deployment.​
a. You Host It. You are responsible for deploying, installing, and maintaining the Software on your own infrastructure. EventCatalog does not guarantee compatibility with any specific hardware or software environment unless explicitly stated.
b. Your Responsibilities. You are solely responsible for: (i) the security and maintenance of your hosting environment; (ii) performing regular data backups; (iii) controlling access to the system; and (iv) complying with applicable laws and regulations. EventCatalog is not liable for data loss or security breaches caused by your hosting practices.
c. Modifications. Any modifications you make to the Software are at your own risk and void support and warranty obligations.
4. Software Updates.​
a. Update Availability. EventCatalog will make updates available as released. You are responsible for downloading and installing them on your self-hosted Instances. EventCatalog will not manage updates on your environment unless separately agreed.
b. Versioning. EventCatalog follows Semantic Versioning. Minor and patch releases are backwards-compatible. Major releases may include breaking changes, which will be documented with migration guidance provided.
c. End of Life. EventCatalog reserves the right to discontinue support for older versions according to its end-of-life policy (available on request). Continued use of unsupported versions is at your own risk.
5. Support Services.​
a. Availability. Support is available via email, Monday to Friday, 9 AM – 5 PM GMT. Response times are determined by your Plan.
b. Scope. Support includes: bug fixes, configuration assistance, feature guidance, and installation troubleshooting. Support does not include: custom development, training beyond published documentation, third-party integrations not provided by EventCatalog, issues arising from your modifications to the Software, or support for unsupported environments.
6. Fees and Payment.​
a. Fees. Your access to and use of the Software is subject to payment of the applicable fees for the Plan selected by you, as set out on the Website or Order. All fees are due in advance as shown at checkout. You may pay by credit card or other payment methods offered at checkout.
b. Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, which shall be your responsibility, excluding only taxes based on EventCatalog's net income.
c. Card Payments. If a credit card or other automated payment method fails, EventCatalog will make reasonable attempts to process the payment. If payment cannot be collected, your subscription may be suspended or terminated.
d. Invoice Payments. Where fees are payable by invoice, payment is due within 30 days of the invoice date unless otherwise agreed in writing. Overdue invoice balances accrue interest at the rate specified by the Late Payment of Commercial Debts (Interest) Act 1998 (currently Bank of England base rate + 8%). EventCatalog may suspend access to the Software if invoiced fees remain unpaid for more than 14 days past the due date.
e. No Refunds. Fees paid are non-refundable. No refunds will be provided for unused portions of the term following termination, or for unused features or services.
7. Subscription Term and Renewal.​
a. Term. Your subscription begins on the date of purchase and runs for an annual period.
b. Auto-Renewal. Your subscription will automatically renew for successive annual periods unless you provide written cancellation notice at least thirty (30) days prior to the renewal date by emailing support@eventcatalog.dev.
c. Price Adjustments. EventCatalog may adjust renewal pricing with at least 60 days' notice prior to your renewal date.
8. Proprietary Rights.​
a. Reservation of Rights. Subject to the limited rights expressly granted hereunder, EventCatalog reserves all rights, title, and interest in and to the Software, including all related intellectual property rights. No rights are granted to you other than as expressly set forth herein.
b. Restrictions. You shall not (and shall not allow any third party to): (i) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software; (ii) circumvent any user limits or other restrictions built into the Software, including the license validation mechanism; (iii) remove any proprietary notices, labels, or marks from the Software; (iv) access the Software in order to build a competitive product or service, or copy any ideas, features, functions, or graphics of the Software; or (v) transfer, sublicense, or redistribute the Software.
c. Feedback. We welcome your suggestions, comments, and feedback on the Software ("Feedback"). If you provide EventCatalog with any Feedback, EventCatalog may use such Feedback in the Software or in any other EventCatalog products or services without obligation or compensation to you.
d. Community Edition. The open-source Community Edition is MIT licensed — these Terms don't restrict it. The restrictions in this Section 8 apply only to features, integrations, and functionality that require a paid license to activate or use, regardless of where in the codebase they reside.
9. License Validation and Telemetry.​
a. License Validation. The Software includes a license validation mechanism that connects to EventCatalog's servers at build time to verify your license status. You acknowledge and agree that: (i) a valid, active license is required to use paid features and integrations; (ii) if the license cannot be validated at build time, paid features and integrations will not function — however, Community Edition features and previously deployed Instances will continue to operate unaffected; (iii) you must maintain an internet connection for license validation at build time; and (iv) tampering with or attempting to circumvent the license validation mechanism is a material breach of these Terms.
b. Offline License Keys. If your environment requires builds without internet access, you may request an offline license key from EventCatalog at no additional cost. Offline keys are available to active paying subscribers on request by contacting support@eventcatalog.dev.
c. Telemetry. The Software collects limited, anonymised usage data during builds and catalog creation, including: build frequency, catalog creation events, and aggregate resource counts. This data is anonymised and is not linked to individual users, your data, or the content of your catalogs. Telemetry data is processed by EventCatalog's third-party analytics provider. There is currently no option to opt out of telemetry. EventCatalog may use this aggregated data to improve the Software and for internal analytics purposes.
d. License Server Availability. EventCatalog will use commercially reasonable efforts to keep its license validation infrastructure available. Because license validation only occurs at build time and only affects paid features and integrations, temporary unavailability of the license server will not impact previously deployed Instances or Community Edition functionality.
10. Your Data.​
a. Self-Hosted Data Control. Given the self-hosted nature of the Software, you acknowledge and agree that: (i) you own and control all data processed through the Software; (ii) except for the limited telemetry described in Section 9(c), EventCatalog does not access, store, or process your data in the normal course of providing the Software; (iii) you are the sole data controller for any personal data processed using the Software; and (iv) EventCatalog acts solely as a technology provider and not as a data processor under applicable data protection laws. This agreement does not constitute a Data Processing Agreement (DPA) as EventCatalog does not process personal data on your behalf.
b. Your Data Responsibilities. You are solely responsible for: (i) compliance with all applicable data protection laws (including GDPR, UK GDPR, and other relevant privacy regulations); (ii) implementing appropriate technical and organizational measures to protect personal data; (iii) obtaining necessary consents and providing required notices to data subjects; and (iv) all other obligations that come with being a data controller.
c. Limited Data Access. EventCatalog may only access your self-hosted environment and associated data: (i) with your explicit consent; (ii) when specifically required to provide technical support; (iii) for the minimum duration necessary to resolve the specific issue; and (iv) under confidentiality obligations. Any data accessed during support will be deleted or returned within 30 days of resolution.
d. Account Information. While EventCatalog does not access data within the self-hosted Software, EventCatalog collects and processes your account and billing information (e.g. contact names, emails, payment details) to manage the subscription. This data is processed in accordance with our Privacy Policy at https://eventcatalog.dev/privacy.
11. Representations, Warranties and Disclaimers.​
a. Limited Warranty. EventCatalog warrants that the Software will substantially conform to its published documentation for a period of 90 days from the date of purchase. Your exclusive remedy for breach of this warranty shall be for EventCatalog to use commercially reasonable efforts to correct the non-conformity, or if EventCatalog cannot do so within a reasonable time, to refund the fees attributable to the non-conforming Software.
b. EXCEPT AS EXPRESSLY PROVIDED HEREIN, EVENTCATALOG MAKES NO REPRESENTATIONS AND PROVIDES NO WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. EVENTCATALOG DOES NOT GUARANTEE THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SOFTWARE IS PROVIDED "AS-IS" SUBJECT ONLY TO THE LIMITED WARRANTY IN SECTION 11(a) ABOVE.
12. Limitation of Liability.​
a. UNDER NO CIRCUMSTANCES SHALL EVENTCATALOG BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHER DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES RESULTING FROM (I) YOUR USE OF OR INABILITY TO USE THE SOFTWARE, (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, (III) ERRORS, MISTAKES, OR INACCURACIES IN THE SOFTWARE, OR (IV) ANY OTHER MATTER RELATING TO THE SOFTWARE; OR (B) ANY DAMAGES (IN AGGREGATE) IN EXCESS OF THE FEES PAID BY YOU TO EVENTCATALOG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
b. IP Claims Cap. For claims that the Software infringes third-party intellectual property rights, EventCatalog's aggregate liability shall not exceed three times (3x) the fees paid by you in the twelve (12) months preceding the claim.
c. Exceptions. Nothing in these Terms shall limit or exclude either party's liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by negligence; or (iii) any other liability which cannot be limited or excluded under applicable law.
d. THESE LIMITATIONS SHALL APPLY EVEN IF EVENTCATALOG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
13. Indemnification.​
a. IP Infringement Response. If a third party makes a claim that your use of the Software (excluding the Community Edition and any third-party software) infringes that third party's intellectual property rights (an "Infringement Claim"), EventCatalog will use commercially reasonable efforts to resolve the claim. You must promptly notify EventCatalog in writing of any Infringement Claim and not make any admission of liability without EventCatalog's prior written consent.
b. EventCatalog's Remedies. In response to an Infringement Claim, EventCatalog may at its sole option and expense: (i) procure for you the right to continue using the Software; (ii) modify the Software so that it becomes non-infringing while providing substantially equivalent functionality; or (iii) if neither (i) nor (ii) is commercially practicable, terminate your license and refund any prepaid fees for the unused portion of your subscription term. This Section 13(a)-(c) states EventCatalog's entire liability and your sole remedy with respect to any Infringement Claim.
c. Exclusions. EventCatalog shall have no obligation under Section 13(a) or (b) to the extent an Infringement Claim arises from: (i) modifications to the Software made by anyone other than EventCatalog; (ii) use of the Software in violation of these Terms or the Documentation; (iii) use of the Software in combination with third-party products, data, or services, where the infringement would not have occurred but for such combination; (iv) use of a version of the Software other than the then-current version, where the infringement would have been avoided by using the current version; or (v) use of the Community Edition, which is provided under the MIT License without warranty or indemnity.
d. Your Indemnification. You will defend, indemnify, and hold harmless EventCatalog, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable costs (including legal fees) arising from: (i) your misuse of the Software; (ii) your violation of these Terms; or (iii) your breach of applicable laws in connection with the Software. EventCatalog must: (a) promptly notify you in writing of any such claim; (b) give you sole control of the defence and settlement; and (c) provide reasonable cooperation at your expense.
14. Confidential Information.​
"Confidential Information" means any proprietary information shared by either party during the term of these Terms, including but not limited to business plans, technical data, product information, and financial information. Each party agrees not to disclose the Confidential Information of the other to any third party without the prior written consent of the disclosing party, and to use such information only as necessary to fulfill these Terms. Obligations of non-disclosure will not apply to information which: (i) was already known to the receiving party without obligation of confidentiality; (ii) becomes publicly available without fault of the receiving party; (iii) is disclosed by a third party under no obligation of confidentiality; or (iv) is independently developed by the receiving party. The receiving party may disclose Confidential Information in accordance with a judicial or governmental order, provided the receiving party gives the disclosing party reasonable notice prior to such disclosure. These confidentiality obligations shall survive termination for a period of 3 years.
15. Termination.​
a. Termination for Breach. Either party may terminate these Terms upon 30 days' written notice if the other commits a material breach, including but not limited to: failure to pay fees when due, violation of license terms, or infringement of intellectual property rights.
b. Effect of Termination. Upon termination: (i) all licenses granted herein shall immediately terminate; (ii) paid features and integrations will no longer function once the license is invalidated, though previously deployed Instances and Community Edition features are not actively disabled; (iii) you must cease use of the paid Software and delete all copies; and (iv) you shall pay all outstanding fees due through the date of termination.
c. Community Edition. Termination of these Terms does not affect your right to use the Community Edition of EventCatalog under the MIT License.
d. Survival. Sections 8 (Proprietary Rights), 9 (License Validation and Telemetry), 10 (Your Data), 11 (Warranties and Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Confidential Information), 16(b) (Governing Law), and all payment obligations shall survive termination of these Terms.
16. General Provisions.​
a. Dispute Resolution. Before commencing any legal proceedings, each party agrees to provide the other with a written description of the dispute and make a good faith effort to resolve it amicably within 30 days. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief where necessary.
b. Governing Law. These Terms shall be governed by the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or in connection with these Terms.
c. Publicity. EventCatalog may include your name and logo in customer lists on the Website unless you notify us in writing at support@eventcatalog.dev. We will remove it within 30 days of your request. You agree not to remove EventCatalog branding from the Software unless your Plan expressly permits removal of branding.
d. Force Majeure. Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including natural disasters, war, cyber-attacks, or government actions.
e. Assignment. You may not assign or transfer these Terms, or any rights or licenses granted hereunder, without EventCatalog's prior written consent. EventCatalog may assign these Terms at any time without notice.
f. Amendments. EventCatalog may update these Terms from time to time. We will notify you of material changes via email or through the Website at least 30 days before they take effect. Continued use of the Software or continued payment of subscription fees after such changes constitutes acceptance of the updated terms.
g. Severability. If any part of these Terms is unlawful, void, or unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
h. Compliance with Laws. You agree to use the Software in compliance with all applicable laws and regulations, including export control laws.
i. Reseller Purchases. Purchases made through authorised resellers or partners remain subject to these Terms. Resellers and partners have no authority to modify these Terms or make binding representations on behalf of EventCatalog.
j. Notices. All notices under these Terms must be in writing and sent by email — to support@eventcatalog.dev for notices to EventCatalog, and to the email address associated with your account for notices to you. Notices are deemed received on the next business day after sending.
k. Waiver. A party's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the waiving party.
l. Entire Agreement. These Terms, together with any Order and our Privacy Policy, constitute the entire agreement between the parties relating to the Software and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
